Terms of Service
These terms govern your use of NorthBank, including your free trial, subscription and interactions with your NorthBank assistant.

1. About These Terms
NorthBank is provided by DSVP Advisors Limited, company number 15697288, registered in England and Wales, with registered office at 50 St. Marys Road, Hemel Hempstead, England, HP2 5HL.
These Terms of Service form a contract between you and DSVP Advisors Limited when you create a NorthBank account and accept these terms.
If you use NorthBank as a consumer, nothing in these terms excludes or restricts rights or remedies that cannot lawfully be excluded or restricted.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a contract to create a NorthBank account.
If you create an account on behalf of a business or other organisation, you confirm that you have authority to bind that organisation to these terms.
3. What NorthBank Is
NorthBank is an AI-powered personal assistant service. Its initial principal functionality is coordinating meetings and managing related calendar activity through email.
Each user receives a dedicated assistant identity. Assistant operational emails use a NorthBank assistant address at @northbank.ai.
Support, billing, privacy and other administrative communications use NorthBank addresses at @northbank.xyz.
NorthBank is a developing service. Its capabilities may expand, change or occasionally be withdrawn as the service evolves.
4. Your Account
You must provide accurate information when creating your account and keep your account credentials and connected services appropriately secure.
Your account and dedicated assistant are intended for your use. You must not allow another person to impersonate you or attempt to instruct your assistant as though they were authorised to act on your behalf.
Contact support@northbank.xyz promptly if you believe your account, assistant or connected calendar may have been compromised.
5. Your Instructions and Other Participants
NorthBank acts on instructions from the registered user. Participants in a meeting conversation may provide availability, constraints, preferences and responses relevant to the task, but do not thereby gain authority to initiate unrelated tasks on your behalf.
When you ask your assistant to coordinate with another person, you authorise NorthBank to communicate with that person and process relevant information to the extent reasonably necessary to perform your request.
You are responsible for ensuring that information you provide to NorthBank, including information concerning another person, is provided lawfully and is appropriate for the purpose for which you ask NorthBank to use it.
6. Calendar and Third-Party Connections
Some NorthBank functionality requires you to connect a supported calendar or other external service and grant appropriate permissions.
You authorise NorthBank to use those permissions to provide the functionality you request, including checking availability and, where supported, creating, modifying or cancelling calendar events.
You may revoke access through the relevant provider or through NorthBank where that functionality is available. Revoking access may prevent some or all NorthBank functionality from working.
Third-party services such as email providers, calendar providers, payment providers and identity providers are also subject to their own terms and availability. We are not responsible for changes or interruptions originating solely from those third-party services.
7. Seven-Day Free Trial
Eligible new customers currently receive a seven-day free trial. The subscription price and the date on which billing will begin will be shown before you complete signup.
You will not be charged NorthBank's subscription fee during the seven-day trial.
Unless you cancel before the trial ends, your paid monthly subscription begins automatically when the trial expires and continues until cancelled.
8. Standard Price and Promotional Offers
NorthBank's standard subscription price is the price displayed on our website and during signup at the time you subscribe.
We may offer promotional, Beta, early-adopter or other discounted pricing from time to time. The amount of the discount, the resulting subscription price and any conditions that apply will be shown before you complete signup.
Unless we expressly state otherwise, a promotional discount is calculated against NorthBank's prevailing standard subscription price rather than guaranteeing a particular fixed subscription price indefinitely.
9. Continuing Promotional Discounts
Some promotional offers may allow you to retain a specified percentage discount for as long as the subscription under which you received that offer remains continuously active.
Where an offer includes that benefit, the applicable discount percentage and conditions will be shown when you subscribe.
If you cancel a subscription carrying a continuing promotional discount, that discount ends with the subscription. If you later subscribe again, the standard price and any promotions available at that time will apply.
If NorthBank's standard subscription price changes while a continuing percentage discount remains valid, that percentage discount will apply to the then-current standard subscription price.
10. Payments and Currency
NorthBank subscriptions are currently priced and charged in US dollars.
The subscription amount displayed by NorthBank at checkout is the amount NorthBank will charge for the subscription, inclusive of any sales, value-added or similar taxes that we are required to collect from you.
If your bank account or payment card is denominated in another currency, your bank or card issuer may convert the charge and may impose its own currency-conversion or other charges. Those third-party charges are outside our control.
Payments are processed through our payment provider. By providing a payment method, you authorise us and our payment provider to charge the applicable subscription amount when your free trial ends and on each subsequent monthly renewal date until your subscription is cancelled.
We may suspend paid functionality where a payment is declined or remains unpaid.
11. Automatic Renewal
NorthBank is a recurring monthly subscription. After the free trial, the subscription renews automatically each month unless you cancel it.
Before you subscribe, we will show the applicable recurring price, billing frequency and information about cancellation.
12. Cancelling Your Subscription
You may cancel your NorthBank subscription at any time.
If you cancel before your next subscription renewal has been charged, your subscription will not renew and no further recurring subscription fee will be charged.
You may continue to use NorthBank until the end of your current paid subscription period.
Registered users can cancel through their NorthBank account. Once cancellation is confirmed, we will show the date on which your current subscription access will end.
If a renewal payment has already been successfully collected before your cancellation is processed, that payment relates to the new subscription period and will be handled in accordance with these terms and any applicable statutory rights.
Cancellation does not limit any additional cancellation or refund rights you may have under applicable law.
13. UK Consumer Cancellation Rights
If you are a UK consumer entering into the contract online, you may have a statutory right to cancel the contract within 14 days after the contract is concluded without giving a reason.
Because NorthBank is designed to become available immediately, during signup we may ask you expressly to request that the service begins before the statutory cancellation period has expired.
If you make that request and later exercise a statutory cancellation right during the cancellation period, we may, where permitted by law, charge a proportionate amount for service supplied before cancellation. The seven-day free portion of your trial remains free.
Your statutory consumer rights are not affected by these terms.
14. Price Changes
We may change NorthBank's standard subscription price in the future.
A price change will not retrospectively alter a billing period you have already paid for. Where required, we will provide reasonable advance notice before a changed price applies to a future renewal.
If your continuing Beta discount remains valid, the applicable discount percentage will continue to be applied as described in section 9.
You may cancel before a new price takes effect if you do not wish to continue.
15. Acceptable Use
You must not use NorthBank to:
- break the law or facilitate unlawful activity;
- harass, threaten, deceive or impersonate another person;
- send spam or unauthorised bulk communications;
- attempt to bypass NorthBank's authority, authentication, security or permission controls;
- gain unauthorised access to systems, accounts, credentials or data;
- introduce malware or deliberately interfere with the operation of NorthBank or another service;
- use NorthBank in a manner that materially infringes another person's rights; or
- knowingly provide instructions intended to cause NorthBank to act outside your legitimate authority.
16. Beta Service
NorthBank is currently in Beta. Its core scheduling functionality is operational, but the service continues to be developed and may contain errors, experience interruptions or occasionally behave unexpectedly.
The Beta discount recognises that early adopters are using NorthBank while we refine the experience, address remaining issues and learn from real-world use.
We may add, alter or remove Beta functionality as the service develops.
17. AI and Important Information
NorthBank uses artificial intelligence to interpret natural language and relevant conversation context. AI systems may occasionally misunderstand instructions, context or information.
NorthBank includes system controls intended to determine whether supported external actions are authorised before they are executed, but no automated service can eliminate every possible error.
You should exercise reasonable judgement where a meeting, communication or calendar event is particularly important, sensitive or time-critical.
NorthBank is not intended to provide legal, medical, financial or other regulated professional advice.
18. Intellectual Property
NorthBank, its software, branding, designs and underlying technology are owned by DSVP Advisors Limited or its licensors and are protected by applicable intellectual-property laws.
We grant you a limited, non-exclusive, non-transferable right to use NorthBank for its intended purpose while your account is active and in accordance with these terms.
You retain rights you already have in information and materials that you provide to NorthBank.
You give us permission to process those materials as reasonably necessary to operate, secure and provide NorthBank in accordance with these terms and our Privacy Policy.
19. Feedback
We welcome comments, suggestions and other feedback during Beta.
If you voluntarily provide feedback about NorthBank, you permit us to use that feedback to develop, improve and commercialise the service without an obligation to compensate you. This does not transfer ownership of your personal data or confidential materials to us.
20. Privacy
Our Privacy Policy explains how we collect and use personal information in connection with NorthBank.
21. Availability and Changes to the Service
We aim to provide a reliable service but do not guarantee that NorthBank will always be uninterrupted, available or error-free.
We may temporarily restrict or suspend functionality where reasonably necessary for maintenance, security, service integrity, provider outages or product development.
We may change NorthBank's functionality as the product evolves. If a material change substantially reduces the paid service available to existing customers, we will take reasonable steps to notify affected customers where appropriate.
22. Suspension or Termination by Us
We may suspend or terminate access where reasonably necessary because of serious or repeated breach of these terms, fraud, abuse, security risk, persistent non-payment or a legal or regulatory requirement.
Where reasonably practicable and appropriate, we will explain the reason and provide an opportunity to resolve the issue.
We may also discontinue NorthBank or a material part of the service. If we end a paid service before the end of a period you have already paid for and the termination is not caused by your breach, we will provide any refund required by applicable law and, where appropriate, a proportionate refund for the unused paid period.
23. Our Responsibility
Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any statutory consumer right that cannot lawfully be excluded or limited.
If you are a consumer
We provide NorthBank with the level of care and skill required by applicable consumer law.
Subject to rights that cannot lawfully be limited, we are not responsible for losses that were not reasonably foreseeable when you entered into the contract, losses that were not caused by our breach, or business losses arising from use of NorthBank for purposes connected with your trade, business, craft or profession.
NorthBank relies on third-party services including email, calendar, cloud, internet and payment providers. We are not responsible for failures or interruptions caused by those services where the failure is outside our reasonable control.
If you use NorthBank for business purposes
To the fullest extent permitted by law, we will not be liable for loss of profit, revenue, business, contracts, anticipated savings, goodwill, data, or for indirect or consequential loss arising out of or in connection with NorthBank.
Subject to liabilities that cannot lawfully be excluded or limited, our total aggregate liability arising out of or in connection with NorthBank will not exceed the greater of US $100 and the total subscription fees paid by you to us during the 12 months immediately preceding the event giving rise to the claim.
24. Events Outside Our Reasonable Control
We are not responsible for delay or failure caused by events outside our reasonable control, including widespread internet, telecommunications, cloud-provider, email-provider or calendar service failures, provided that this does not exclude rights or responsibilities that cannot lawfully be excluded.
25. Changes to These Terms
We may update these terms where reasonably necessary to reflect changes to NorthBank, security requirements, applicable law or our business.
We will publish the current version on this page. Where a change materially affects an existing paid subscription, we will provide reasonable notice where appropriate.
If you do not wish to continue following a material change, you may cancel your subscription before the change takes effect.
26. Governing Law and Disputes
These terms are governed by the laws of England and Wales.
If you are a consumer resident elsewhere, you may also benefit from mandatory protections under the law of your country of residence and rights to bring proceedings in courts available to you under applicable consumer law.
If you have a complaint, please contact support@northbank.xyz first so that we have an opportunity to resolve it.
27. General
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
A delay in enforcing a right under these terms does not mean that the right has been waived.
You may not transfer your NorthBank account or your rights under these terms to another person without our consent. We may transfer our rights and obligations where permitted by law, provided that doing so does not reduce protections that apply to you.
Except where applicable law provides otherwise, these terms do not give rights to anyone other than you and DSVP Advisors Limited.
28. Statutory Cancellation Form for UK Consumers
You do not need to use this form to cancel your NorthBank subscription. Registered users can cancel directly through their NorthBank account.
The following model form is provided for UK consumers who wish to exercise an applicable statutory cancellation right. You may use it, but you are not required to do so.
